Terms of Service
Effective October 18, 2026
These terms are an agreement between you and Sheyi Software Solutions ("we", "us"), the operator of Cutiva at https://www.cutiva.live. By creating an account or using Cutiva, you agree to them. If you don't agree, please don't use the service.
1. Who can use Cutiva
You must be at least 16 years old and able to form a binding contract. If you use Cutiva for an organisation, you confirm you're allowed to accept these terms on its behalf. You're responsible for your account and for keeping your password secure; tell us at shade_apps@outlook.com if you think someone else has accessed it.
2. What Cutiva does
Cutiva lets you upload videos and audio, edit them (including by describing edits to an AI assistant), add captions, text, music and branding, and export finished files. Features and limits depend on your plan and may change as we improve the product.
3. Your content
You keep all rights to the videos, audio, images and text you upload and the exports you create ("your content"). You give us a limited licence to store, copy, process and transmit your content only as needed to run Cutiva for you: for example to transcribe speech, analyse footage, show previews and render exports. This includes sending audio and text to the service providers listed in our Privacy Policy. The licence ends when you delete the content or your account, except for copies in short-lived backups held by our providers.
You confirm you have the rights and permissions needed for everything you upload, including the consent of people who appear or speak in it, and that your content and exports don't infringe anyone's rights.
4. Acceptable use
You agree not to use Cutiva to:
- upload or create content that is illegal, infringes intellectual property, or exploits or endangers minors;
- harass, threaten, defame or impersonate others, or create deceptive content intended to mislead people about real events or people;
- upload malware, probe or attack the service, or try to access other users' data;
- get around plan limits, rate limits or usage controls, or resell the service without our permission.
We may remove content or suspend accounts that break these rules, and we'll tell you why unless the law or safety prevents it.
5. AI features
The assistant, transcripts, captions, automatic shorts and post copy are generated automatically and can be wrong: a cut may not be what you meant, a word may be misheard, and suggested text may be inaccurate. Every edit can be undone; review your exports and posts before you publish them. You're responsible for how you use what Cutiva produces.
6. Plans, payments and cancellation
Cutiva has a free plan and paid subscriptions billed monthly or yearly, at the prices shown when you subscribe. Payments are processed by Stripe, which acts as the merchant of record: it charges you, collects any applicable sales tax, VAT or GST, and issues your receipts. Subscriptions renew automatically until cancelled. You can cancel any time from Settings → Plan & usage → Manage billing; you keep paid features until the end of the period you've paid for. Refunds are covered by our Refund Policy. If we change a price, the new price applies from your next renewal after we've told you.
Each plan includes usage allowances (for example export minutes, AI requests and transcription minutes) that reset each billing period. To keep the service sustainable we may also pause costly features for everyone for a short time if overall usage spikes.
7. Deleting your account
You can delete your account at any time in Settings. This permanently deletes your projects, uploads, exports, transcripts and brand kit, and cancels any active subscription. We may also close accounts that break these terms or have been inactive for a long time, after giving notice where we can.
8. Availability and changes
We work to keep Cutiva available and your files safe, but we don't guarantee it will be uninterrupted or error-free. Keep your own copies of anything important. We may change or discontinue features; if we make a change that significantly reduces a paid plan, we'll tell you in advance.
9. Disclaimers and limitation of liability
To the extent the law allows, Cutiva is provided "as is" without warranties of any kind, and we aren't liable for indirect, incidental, special or consequential damages, lost profits or lost data. Our total liability for any claim relating to the service is limited to the amount you paid us in the 12 months before the claim (or CAD $50 if you haven't paid us). Nothing in these terms limits rights you have under consumer protection laws that can't be waived.
10. Indemnity
You agree to cover our reasonable costs if someone makes a claim against us because of your content or your breach of these terms.
11. Governing law
These terms are governed by the laws of the Province of Alberta, Canada and the federal laws of Canada that apply there, and disputes will be handled by the courts of Alberta, unless the law of the place you live gives you the right to bring a claim there.
12. Changes to these terms
We may update these terms. If a change is material, we'll tell you by email or in the app before it takes effect. Continuing to use Cutiva after that means you accept the updated terms.
